8. Fees and Payment

8.1 Service Fees

Fees for our professional services will be specified in the applicable Service Agreement. All fees are quoted in U.S. Dollars unless otherwise stated.

8.2 Payment Terms

Payment terms will be specified in the Service Agreement. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8.3 Expenses

Unless otherwise agreed, you will reimburse us for reasonable out-of-pocket expenses incurred in connection with providing services, including travel, accommodation, and materials.

8.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental charges. You are responsible for paying all such taxes, except for taxes based on our net income.

9. Confidentiality

9.1 Confidential Information

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party and to use such information only for the purposes of the engagement.

9.2 Exceptions

Confidential information does not include information that:

• Is or becomes publicly available through no breach of this agreement
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed without use of the confidential information
• Is rightfully obtained from a third party without restriction
• Must be disclosed pursuant to legal or regulatory requirements

10. Warranties and Disclaimers

10.1 Professional Services Warranty

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty is valid for thirty (30) days from delivery of services.

10.2 Website Disclaimer

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• Our services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our services will be accurate or reliable
• The quality of any products, services, information, or other material obtained through our services will meet your expectations
• Any errors in our services will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL KFB RIES CONSULTING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES
• OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100)

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless KFB RIES CONSULTING LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Your negligence or willful misconduct

13. Term and Termination

13.3 Termination by Us

Upon termination:

• You must cease all use of our Content and services

14.1 Informal Resolution

14.2 Arbitration

If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Los Angeles, California, and judgment on the arbitration award may be entered in any court having jurisdiction.

14.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California and the United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California, and you hereby consent to personal jurisdiction and venue therein.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email notification to registered users

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

22. Export Compliance

You agree to comply with all applicable export and import control laws and regulations in your use of our services. You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
